INTRODUCTION TO OUR COMPANY

Singularity Studios, LP (Singularity or the Company), a real estate development and management firm, was formed in 2023 to build and manage feature film and television production studios in Georgia. Singularity plans to build studios specifically built for feature film and television production. Singularity will offer customers production space that allows them to film in a comfortable and professional environment that offers benefits above their expectations.

The Opportunity

Georgia is bursting at the seams with film and television production and is in dire need of production space. Currently, most production space in Georgia has been carved out of old industrial buildings or abandoned office complexes; these types of spaces never work well though, due to the limitations they seemingly always cause designers to have to work around. Production companies like big stages which allow them to build sets and shoot without limitations. By constructing and leasing large stages, Singularity's clients will have the freedom they need to build any scene; be it a lunar landscape, a war-torn city, a basketball arena filled with fans, or whatever other ideas the writers can conceive.

The Georgia Department of Economic Development reported the state hosted 412 productions: represented by 32 feature films, 36 independent films, 269 television and episodic productions, 42 commercials, and 33 major music videos.

Why Georgia?

With almost 4.5 billion dollars spent last year by production companies in Georgia, the state set another record for television and feature-film production. In fact, in Georgia, spending by production companies rose a whopping 10% over last year and there is still no end in sight. Georgia saw over four hundred productions produced in the state last year, productions that included made-for-TV movies, feature films, episodic television, game shows, and more! Last year alone, Georgia had over forty full-length feature films shot in the state. Georgia is quickly becoming the home of the world's feature film and television production industry. No wonder companies like Disney, BET, Warner Brothers, Paramount, Sony, and Universal are lining up to take advantage of what Georgia has to offer.

Why Production Studios?

Production studios are unique, which is why Singularity can charge a premium for the space. The special sound abatement, “quiet” heating and air, and other studio amenities allow the Company to charge rates higher than typical class “A” office space can garner, this is because the customer is not just renting a ”space”, but the perfect shooting facility.

A good investment

The Company's business plan should allow Singularity to return to investors their initial investment, plus receive a good return on that investment. The General Partner believes that the Company's chance for profit is particularly good since strict cost controls will be utilized on land purchases, building costs, and amenity installations. Singularity's efforts to produce great production facilities at an affordable price should produce superior returns for the Company's investors.

The Strategy

Singularity aims to build equity into its investments from the start. To do this, the Company will obtain multiple bids and appraisals before purchasing raw land and then apply a sharp pencil to construction costs to ensure properties are developed in a cost-effective and value-added manner.

Keeping it simple

The best part about the studio rental business is that it is not complex. Start with the right size studio space, add good sound abatement, build in quality heating and air, mix in the proper ratio of shooting space to office space, offer enough auxiliary rooms for the wardrobe, makeup, and art departments, add ample parking for both crew and production vehicles, and you will have a facility that should lease at a great return on the dollar and shouldn't require expensive updating all the time. Unlike companies and industries that require the latest technologies, such as computers or industrial equipment which change every few months or require constant maintenance, studios, if properly built, require very little upkeep.

Why our clients will stay in Georgia

Georgia has discovered that a tax incentive is the “carrot” to attract production companies to the state. That is why Georgia is “all in” when it comes to a tax incentive and doing what it takes to ensure production companies desire to come here. This enthusiasm is due to the State of Georgia's full commitment to the production industry and all that Georgia has to offer. Disney, Netflix, Amazon, and other titans of the production industry are coming to Georgia because of Georgia's lucrative tax incentive, a tax incentive that has been in place for almost two decades. 4.5 billion dollars in spending provides almost 1.5 billion dollars in tax incentive savings for production companies, savings which they can utilize or offer to other corporations. Even though other states like New York and California also offer tax incentives, Georgia has incentives that are far more flexible, making Georgia the go-to state when it comes to producing a show of any type.

Minimum Offering: $5,000,000

Minimum Investment: $10,000 (10 Units)

The Company is offering a minimum of $5,000,000 and a maximum of $25,000,000 Limited Partnership Units at a price of $1,000 per Unit. Upon completion of the Offering between 5,000 and 25,000 Limited Partnership Units will be issued.

Distributions

Distributions of Available Cash from Operations to the Limited Partners and the General Partner, will be made in the following order of priority:

  • (i) first, the aggregate of outstanding Class A Units shall receive one hundred percent (100%) of Company profits (exclusive of capital gains) each year until a ten percent (10%) Preferred Return (the “Class A Pref”) is realized on their investment;
  • (ii) second, after the Class A Pref is paid current for any calendar year, the aggregate outstanding Class A Units shall revert to receiving seventy percent (70%) of Company profits (exclusive of capital gains) until an additional two percent (2%) return is realized on their investment (for a total annual return of twelve percent (12%) on their investment);
  • (iii) third, at which time the aggregate of outstanding Class A Units shall revert to receiving ten percent (10%) of remaining Company profits (exclusive of capital gains) for such calendar year, not including Capital gains from sale of the Property.

Distributions of Capital Gains will be made in the following order of priority:

  • Upon sale of the Property, the aggregate of Class A Units and Class B Units shall be entitled to a return of their net Capital Contributions;
  • then the Class A Units shall be entitled to any accrued, unpaid Class A Preferred Return;
  • then fifty percent (50%) of the Partnership's capital gain, pro rata by number of Units, to the Class A Limited Partners;
  • and the Class B Limited Partners shall be entitled to the fifty percent (50%) balance

At the discretion of the General Partner, net proceeds of any refinance may be utilized to redeem Class A Units.

Velocity

To help increase the velocity of return on investment, the majority of profits received by the General Partner will be paid to the Limited Partners in a buyback of Company units.

Investors, producers, actors, and crewmembers can enjoy Company sponsored “wrap parties” and “events” where everyone can mingle and meet to enjoy food and libations.

Georgia overtook California in 2016 as the state with the most feature films produced overall, 17 of the top 100 grossing movies were filmed in Georgia.

His thirty years of working in the production business -- starting off as a grip, then gaffer and moving up to director of photography, director, and eventually to being co-owner of a feature film and television production studio -- has given the CEO a unique insight, one which allows him to understand what the crew and production management seek from the perfect studio. His many years in administering and growing a feature film and television production studio provide the CEO with the knowledge to maximize returns for the Company and the Company's investors.
